XLCS Partners advises Creative Assembly Systems on sale to All State Fastener
XLCS Partners, Inc., a leading middle market investment bank, is pleased to announce it served as the exclusive advisor to Creative Assembly Systems (CAS) on its sale to All State Fastener (ASF).
CAS, headquartered in Chillicothe, OH, is a full-line authorized supplier of industrial products and support for heavy-duty vehicles and other machinery. The company offers a comprehensive range of products, including fasteners, Class C components, abrasives, and other items, along with value-added services such as manufacturing support services (MSS), select vendor-managed inventory (VMI), and print customization.
For over 44 years, ASF has been a global leader in the fastener industry, serving the automotive, heavy truck, transportation, heavy equipment, electronics, and construction sectors. Headquartered in Roseville, MI, ASF specializes in both production and MRO fastener requirements, holding ISO 9001:2008 and Ford Q1 certifications. In 2006, ASF expanded into the aerospace industry with AS 9021 certification, demonstrating a commitment to quality and innovation.
This strategic integration will enhance ASF’s market share and competitive advantage, providing added resources to better serve existing customers while driving growth in the core business. CAS General Manager Seth Ucker will continue to lead the CAS business and oversee all employees and branches in Chillicothe, OH, and Denton, TX.
“This transaction marks a significant milestone as our 20th fastener-related deal, further solidifying XLCS Partners’ expertise in the sector,” said Anthony Contaldo, Partner and Head of XLCS’s Industrial Distribution Practice Group. “Our deep industry knowledge and strong relationships within the fastener industry continue to drive successful outcomes for our clients. We’re proud to have partnered with CAS and are excited for their next chapter with ASF.”
XLCS acted as the exclusive M&A advisor to CAS, and the transaction was led by Joe Contaldo, Partner, and Reed McMahon, Senior Associate. The transaction was completed on July 12, 2024, and marks the firm’s 20th fastener and industrial distribution transaction.
